from the towers The importance of Board elections By Morton Gitter Our corporate By Laws provide for an annual election by Shareholders of directors to the Board of Directors ( “Board”). The election process usually begins in May and concludes at the annual meeting of Shareholders, which will be held this year on June 19, 2014. The Board has nine members in total. Shareholders will elect five directors to serve on the Board this month. Four directors will be elected in June 2015. The importance of Board elections cannot be over emphasized. The Board sets policy and is responsible for overall management of the business affairs of our Corporation including the operation of the apartment buildings, the property and the facilities. The Board elects the officers of the Corporation, including the president, treasurer and secretary. The officers also have responsibility for the general management of the affairs of the Corporation . Our independent management company runs the dayto day operation of our complex and works in cooperation with the Board and corporate officers. By voting in Board elections, Shareholders have a powerful voice and influence in determining how the affairs of the Corporation are conducted and in how matters and issues of significance will be decided. If a large percentage of Shareholders do not vote in Board elections, there is danger that a small, well-organized group of Shareholders can elect members to the Board whose views may be inconsistent or out of step with those of the “silent majority” do not vote. If a Shareholder does not vote in Board elections, it seems that his or her right to criticize -- or have a say in what’s going on -- will be seriously diminished. Our election process is straight forward and fair. It is supervised by American Arbitration Association. Eight Shareholders -- three incumbent Board members, two former Board members and three Shareholders who have not previously sought election -- are vying for five Board seats. Ballots are being mailed to Shareholders by AAA on or about June 3. Please be sure to vote and send it back. Included with the ballot will be an insert which contains a biographical sketch of each candidate and also their platform and/or positions. The ballot will also contain instructions for voting. Additional proxies for voting may be obtained at the management office. We will hold a “Meet the Candidates Night” on Thursday June 5 in the movie theatre. All Shareholders are welcome to attend. Each candidate will have the opportunity to make a short statement after which time, questions from the audience will be entertained. A bulletin board will be located in each lobby on which will be posted a flyer prepared by each candidate. In addition, a flyer will be distributed under the door of each apartment. Voting will be by mail, or by depositing the voted ballot in the ballot boxes located in each building lobby or at the annual meeting. Voting will close at the conclusion of the June 19 annual meeting, after which time ballots will be tabulated by AAA. Election results will be certified by AAA and posted as soon as possible upon conclusion of the election.
